Własność grupowa i grupowe prowadzenie działalności gospodarczej ma długą tradycję wywodzącą się jeszcze z czasów rzymskich. Autor przedstawia genezę i istotę spółek kapitałowych omawiając model monistyczny, oparty na prawie anglosaskim (występujący m.in. w USA i W. Brytanii) i dualistyczny (kodyfikowany, obecny np. w Niemczech, Francji i w Polsce).
Abstrakt EN:
Group ownership, or the group management of economic activity, has a long tradition, going back to the times of Ancient Rome. The methodology for designing senior management systems assumes different forms in different countries. For the most part, it can be said that two models exist: the monistic model, based on Anglo-Saxon common law, which appears in, among other places, the United States and Great Britain, and the codified dualistic model present in, for example, Germany, France and Poland. The system governing the activities of capital companies in these countries is based on various methodological foundations. The organs of the Anglo-Saxon joint-stock company and its internal structure of authority depart from the solutions employed in, e.g., Germany or Poland. Instead of the classical three-tier structure - shareholders, supervisory board, management - a two-tier system is in force: (a) shareholders' general meeting, and (b) board of directors, responsible for managing the company. In this model, the board of directors combines the responsibility and prerogatives of the supervisory board and management. The author's research shows, however, that despite their differing legal foundations and formal arrangements, these models are slowly converging. (original abstract)
