Abstrakt EN:

An efficient and effective functioning of a company is conditioned by the proper shape of senior management. The instrument which makes it possible is an appropriate organization of the strategic level. The decision-making system in a company should be considered on three levels: directors level (political system of an enterprise), middle management level (administrative system) and operational management (operational system). Occupying the position at the top of the organizational structure the board performs a unique function of formulating the policy of an enterprise, its objectives and drawing up guidelines constituting the basis of attaining those goals. A number of features may be distinguished which the effectively functioning board should posses: ability to think ahead and foreseeing funds necessary to ensure the future of the company, managerial abilities, readiness to undertake risk, ability to raise capital and find strategic partners, adequate composition of the board (professionalism, responsibility, structure, powers). In the article the author discussed in more detail the selected functions of boards among which the following are included: trusteeship, setting the general goals of a company and elaborating a strategic policy, appointment of the chief executive officer, supervision over operations and finances.
