Abstrakt PL:

Omówiono zmiany w przepisach art. 3:101-3:209 Zasad europejskiego prawa umów (PECL), regulujących postanowienia ogólne oraz zastępstwo bezpośrednie, które wstępnie można uznać za odpowiednik pełnomocnictwa w rozumieniu k.c. Przedstawiono przyczyny, które skłoniły twórców PECL do uregulowania instytucji zastępstwa bezpośredniego i pośredniego na szczeblu wspólnotowym.

Abstrakt EN:

In this article, the authors present the reasons why the authors of the PECL decided to regulate the institution of direct representation at the Community level. Next, they compare the key provisions of the PECL relating to direct representation with the regulations of the Polish Civil Code. The authors analyse the following issues: the basis (source) of authority, types of power-of-attorney, representatives acting without authority or beyond the scope of their authority, and expiry of power-of-attorney. Finally, the authors discuss the similarities and differences in regulating the institution of direct representation under Polish Law and according to the PECL. (original abstract)
