Przedstawiono istotę nadzoru korporacyjnego. Omówiono specyfikę i uwarunkowania formalne funkcjonowania spółek pracowniczych. Zaprezentowano wnioski dotyczące skutecznego funkcjonowania rady nadzorczej w spółce pracowniczej.

Abstrakt EN:

The main aim of the article is to describe the essence of corporate supervision, the origin of employee companies, and the binding formal conditions and specific operation of management organs in employee companies. The significance of the ownership structure of employee companies and its significance in the process of managing them, as well as the relationship between employee ownership and corporate supervision, are analysed in detail. The article ends with conclusions on how the board of directors operates in an employee company. (original abstract)
